Terms of Service

These terms govern your access to and use of VAR Conduit. By using the service you agree to them.

1. The service

Var Conduit, Inc. provides a channel-operations system of record — a platform to organize your reseller org trees, account ownership, and channel pipeline. We may update features over time.

2. Accounts

You are responsible for your account, for the accuracy of the data you import, and for activity under your credentials. You must have the right to upload any data you bring into the service.

3. Acceptable use

You agree not to:

  • upload unlawful content or data you lack the rights to use;
  • attempt to access another customer's workspace or data;
  • probe, scan, overload, or disrupt the service or its security;
  • resell or sublicense the service without our written consent.

4. Your data

You own the data you import. You grant us only the limited license needed to host and process it to provide the service. Our handling of personal data is governed by our Privacy Policy and DPA.

5. Plans & billing

VAR Conduit is sold on a subscription basis, invoiced directly (there is no self-serve checkout). Plan tiers and limits are agreed at signup. Fees are non-refundable except where required by law.

6. Confidentiality

Each party will protect the other's non-public information and use it only to perform under these terms.

7. Disclaimers

The service is provided “as is.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential damages, and each party's aggregate liability is limited to the fees paid in the twelve months before the claim.

9. Term & termination

Either party may terminate for material breach not cured within 30 days. On termination you may export your data for a reasonable period, after which we delete it per our retention practices.

10. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules.
